Terms of Service

1. Acceptance of Terms

By creating an account or using Zorah ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these terms. If you do not agree, do not use the Service.

2. Description of Service

Zorah is a SaaS subscription management platform that helps companies track software spend, manage renewals, detect waste, and collaborate on subscription decisions. The Service includes:

  • Manual and CSV-based subscription tracking
  • AI-powered subscription analysis and recommendations
  • Team collaboration with role-based access control
  • Renewal alerts, reporting, and data export tools

3. Accounts & Registration

  • You must provide accurate and complete information when creating an account
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must promptly notify us of any unauthorised access to your account
  • One person or entity may not maintain more than one free trial
  • You must be at least 18 years old to use Zorah
  • Account administrators are responsible for managing team access and permissions

4. Free Trial & Subscription Plans

  • New accounts receive a 30-day free trial with full Pro features. No credit card is required
  • After the trial period, you must upgrade to a paid plan to continue using the Service
  • Trial accounts that expire will be placed in read-only mode — your data will not be deleted
  • Paid plans are billed monthly or annually via Stripe
  • All prices are in EUR unless otherwise stated, and exclude applicable taxes (VAT)
  • You can cancel your subscription at any time. Access continues until the end of the current billing period
  • We reserve the right to change pricing with 30 days' notice. Existing subscriptions are honoured until renewal

6. Your Data & Ownership

  • You retain full ownership of all data you upload or import into Zorah
  • We do not sell, rent, or share your data with third parties for marketing or advertising
  • You grant us a limited licence to process your data solely for the purpose of providing and improving the Service
  • You can export all your data at any time in machine-readable format (JSON) via Settings → Privacy
  • You can request permanent deletion of your account and all associated data at any time

7. AI-Powered Features

  • Zorah uses AI (powered by Berget AI, an EU-based provider) to analyse transaction data, detect subscriptions, and provide spend recommendations
  • AI analysis is performed on merchant names, amounts, and dates only — no personal identifiers are included
  • AI-generated insights are recommendations only and should not be treated as financial or legal advice
  • You are responsible for verifying and acting upon any AI recommendations
  • Data sent to Berget AI is processed under their terms and is not used for model training

8. Security

We implement industry-standard security measures to protect your data:

  • AES-256-GCM encryption for sensitive data at rest
  • TLS 1.2+ for all data in transit
  • HSTS, CSP, and other security headers on all responses
  • Role-based access control with admin, manager, and member permissions
  • Rate limiting on all API endpoints
  • CSRF protection on all state-changing operations
  • SOC 2 Type II certified hosting infrastructure
  • EU-based primary data storage

If you discover a security vulnerability, please report it to security@zorah.app. We appreciate responsible disclosure.

9. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable regulations
  • Attempt to access other users' accounts, data, or companies
  • Circumvent rate limits, authentication, or access controls
  • Use automated tools to scrape, crawl, or overload the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Upload malicious content, malware, or attempt to compromise the Service's security
  • Misrepresent your identity or affiliation when creating an account

10. Service Availability & Modifications

  • We aim to maintain high availability but do not guarantee uninterrupted access
  • We may perform scheduled maintenance with reasonable advance notice
  • We reserve the right to modify, suspend, or discontinue features with 30 days' notice

11. Limitation of Liability

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied
  • Zorah is a subscription management tool, not a financial advisor. We are not liable for business decisions made based on data or recommendations presented in the platform
  • We are not liable for any losses arising from unauthorised access to your account caused by your failure to secure your credentials
  • Our total aggregate liability for any claims arising from or related to the Service is limited to the amount you have paid us in the 12 months preceding the claim
  • In no event shall we be liable for indirect, incidental, consequential, or punitive damages

12. Indemnification

You agree to indemnify and hold Zorah harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

  • You may terminate your account at any time by deleting it in Settings → Privacy
  • We may suspend or terminate your access if you violate these Terms
  • Upon termination, your right to use the Service ceases immediately
  • Data deletion follows our Privacy Policy retention schedule

14. Governing Law & Disputes

These Terms are governed by the laws of Sweden. Any disputes arising from or related to these Terms or the Service shall be resolved in the courts of Stockholm, Sweden. This does not affect your statutory consumer rights under the laws of your country of residence.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notification at least 30 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree with the changes, you may terminate your account before they take effect.
